This page gives a simple overview of the MiraFeld Exclusive Business Usage Licence.

MiraFeld licences are created to protect both the customer and MiraFeld. They are not intended to make the process feel complicated or distant, but to make sure the artwork is held with care, the terms of use are clear, and both parties understand what has been agreed.

When you purchase a MiraFeld licence, the intention is that you feel secure in your purchase, confident in how you are allowed to use the artwork, and supported in choosing the licence that fits your plans. MiraFeld values clear communication, respectful use of creative work, and a licensing process that feels transparent rather than confusing.

The full licence document is the legally binding agreement. This summary is provided as a plain-English guide to make the key terms easier to understand before purchase.

What This Licence Does Allow

The Exclusive Business Usage Licence is for businesses, brands, organisations, or sole traders who want to use a MiraFeld artwork as part of their business identity.

This licence allows you to use the artwork for business branding and visual identity purposes only.

This means the artwork can be used to represent your business across approved brand materials, marketing materials, online platforms, and physical signage.

This may include use across your:

  • logo

  • branding

  • website

  • social media

  • digital marketing

  • stationery

  • business cards

  • invoices

  • brochures

  • flyers

  • catalogues

  • signage

  • vehicle signage

  • presentations

  • internal business documents

You may also resize, crop, recolour, or adjust the artwork where reasonably needed for your approved branding use.

You may also allow your employees, contractors, designers, marketers, printers, developers, or other service providers to use the artwork, but only when they are working for your business and only for the uses allowed under the licence.

You remain responsible for how those people use the artwork.

What This Licence Does Not Allow

This licence does not allow you to sell products featuring the artwork unless you purchase a separate Merchandise Usage Licence.

You may use the artwork on physical business materials where the purpose is business branding, staff use, packaging, display, or promotion of your own business.

For example, this licence may allow the artwork to be used on:

  • staff uniforms or shirts given to employees

  • business mugs, stationery, or internal items

  • signage, banners, and displays

  • packaging used for your business

  • printed promotional or brand materials

  • other physical items used to represent your business, provided they are not sold as products

However, this licence does not allow you to create products featuring the artwork for sale.

This means you cannot sell items such as:

  • clothing

  • t-shirts

  • hoodies

  • mugs

  • tote bags

  • phone cases

  • stickers

  • posters

  • calendars

  • stationery sets

  • prints for resale

  • physical products for sale

  • digital products for sale

You also cannot:

  • resell the artwork itself

  • redistribute the artwork files

  • sublicense the artwork to another person or business

  • transfer the licence to someone else

  • claim that you created the artwork

  • claim copyright ownership of the artwork

  • use the artwork outside the approved business branding scope

  • create a modified version that becomes a new standalone asset competing with the original artwork

In simple terms: you may use the artwork on items that support your own business branding, but you may not sell products featuring the artwork unless a separate Merchandise Usage Licence has been agreed in writing.

Merchandise Use Requires a Separate Licence

If you later want to sell products featuring the artwork, you will need a separate Merchandise Usage Licence.

You may request to upgrade from a Business Licence to a Merchandise Licence.

If MiraFeld agrees to the upgrade, a reduced upgrade price may be offered, taking into account the amount already paid for the Business Licence.

Any upgrade must be confirmed in writing and paid before the new rights take effect.

Copyright and Ownership

Purchasing this licence does not transfer ownership of the artwork to you.

MiraFeld remains the copyright owner and intellectual property owner of the artwork.

You are purchasing permission to use the artwork in specific approved ways.

You must not claim ownership of the artwork or register copyright in the artwork as your own.

Trademark Use

This licence does not automatically give you the right to register the artwork as a trademark.

If you want to apply to register the artwork as a trademark, you must first receive written consent from MiraFeld.

MiraFeld may place reasonable conditions on trademark permission and may require an additional fee.

How Long the Licence Lasts

This licence continues indefinitely unless it is ended under the terms of the agreement.

This means there is no fixed expiry date unless the licence is terminated or exited according to the licence terms.

When the Licence Starts

The licence begins once the full licence fee has been paid, unless otherwise agreed in writing.

By completing payment where this licence is presented or referenced before purchase, you confirm that you have read, understood, and agreed to the licence terms.

A physical signature is not required unless both parties agree otherwise in writing.

File Delivery

The artwork will generally be supplied as digital files in the following formats:

  • PNG

  • JPEG

  • PDF

  • SVG

These are the standard file formats provided by default.

If you require another file type, such as AI, EPS, or another specific format, you may request this before or after purchase. Additional file types may be provided where available and suitable for the artwork.

Files will usually be delivered by email as a ZIP folder containing the supplied artwork files.

Once the files have been delivered, you are responsible for securely downloading, storing, and backing up the files.

Your Responsibilities

You must use the artwork only in the ways allowed by the licence.

You must not use the artwork in connection with anything unlawful, misleading, deceptive, hateful, harassing, discriminatory, or damaging to MiraFeld’s reputation or the integrity of the artwork.

You must also notify MiraFeld if you become aware of any unauthorised use or copying of the artwork by someone else.

If the Licence Is Misused

If the artwork is used outside the licence terms, the licence may be terminated.

Examples of misuse include using the artwork for merchandise without permission, reselling the artwork, sublicensing it, claiming ownership, or using it for commercial purposes outside the approved business branding scope.

If a breach can be fixed, the breaching party will usually have 30 days after written notice to fix it.

Some serious breaches may lead to immediate termination.

If the Licence Ends

If the licence ends, you must stop using the artwork unless the licence allows a transition period.

If the licence ends for reasons other than breach, you may be able to continue using existing compliant branding materials for a 90-day transition period.

During that transition period, you cannot create new materials or expand your use of the artwork.

This gives you time to phase out existing branding materials in a practical way.

MiraFeld’s Promises

MiraFeld confirms that the artwork is an original work created by MiraFeld and, to the best of MiraFeld’s knowledge, does not infringe another person’s intellectual property rights.

MiraFeld also confirms that no previous licence or transfer has been granted that would conflict with your Exclusive Personal Usage Licence.

MiraFeld agrees to supply the artwork in the format and quality described at the time of purchase and to provide reasonable assistance if you experience issues accessing the artwork.

MiraFeld’s Retained Rights

Even though the artwork is licensed exclusively to you, MiraFeld may still display the artwork as part of its portfolio, website, social media, promotional materials, or case studies.

MiraFeld may also identify the artwork as sold, licensed, or unavailable.

MiraFeld will not otherwise use, licence, reproduce, or commercially exploit the artwork in a way that competes with or weakens the exclusivity granted to you.

Governing Law

This licence is governed by the laws of New South Wales, Australia.
